Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Liberta USA Inc., doing business as Freeze Tech ("Freeze Tech," "we," "us," or "our"), governing your access to and use of www.freezetech.com (the "Site") and any purchases made through the Site.

By accessing the Site or placing an order, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, please do not use the Site.

2. Products and Orders

2.1 Product Descriptions

We make every effort to accurately display our products, including descriptions, images, and specifications. However, we do not warrant that product descriptions or other content on the Site are entirely accurate, complete, or error-free. Freeze Tech reserves the right to correct errors and update information at any time without prior notice.

2.2 Availability

All products are subject to availability. We reserve the right to limit quantities, discontinue products, or refuse orders at our discretion. If a product becomes unavailable after your order is placed, we will notify you and provide a full refund for the affected item(s).

2.3 Order Acceptance

Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or suspected fraudulent activity. Order confirmation via email does not guarantee acceptance; acceptance occurs upon shipment.

3. Pricing and Payment

3.1 Pricing

All prices are listed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes or shipping and handling fees, which will be calculated and displayed at checkout.

3.2 Taxes

You are responsible for any applicable sales tax, use tax, or other governmental charges based on your location. We collect sales tax in jurisdictions where we are required to do so by law.

3.3 Payment

We accept major credit cards (Visa, Mastercard, American Express, Discover) and other payment methods as indicated at checkout. By submitting your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge the full order amount to that method.

4. Shipping and Delivery

4.1 Processing and Shipping Times

Orders are typically processed within 1–3 business days. Estimated shipping times are provided at checkout and begin from the date of shipment, not the date of order. We are not responsible for delays caused by carriers, customs, or circumstances beyond our control.

4.2 Shipping Address

You are responsible for providing an accurate and complete shipping address. We are not liable for orders delivered to an incorrect address provided by the Customer. If a package is returned to us due to an incorrect address, you may be responsible for reshipping costs.

4.3 Risk of Loss

Risk of loss and title for products pass to you upon delivery to the carrier. If your package is lost in transit, please contact us and we will work with the carrier to investigate and resolve the issue.

5. Returns and Refunds

5.1 Return Eligibility

We accept returns of unused, unwashed, and unworn items in original condition with original packaging within 30 days of delivery. Items that have been used, washed, or altered are not eligible for return.

5.2 Return Process

To initiate a return, please contact us at info@freezetech.com with your order number and reason for return. We will provide return instructions. Customers are responsible for return shipping costs unless the return is due to our error or a defective product.

5.3 Refunds

Once we receive and inspect your return, we will process a refund to your original payment method within 5–7 business days. Original shipping charges are non-refundable unless the return is due to our error or a defective product.

5.4 Exchanges

We offer exchanges for different sizes or colors, subject to availability. Please contact us to arrange an exchange.

6. Product Performance Disclaimer

Freeze Tech products incorporate proprietary cooling technologies, including xylitol and erythritol endothermic compounds and phase-change material (PCM) nanocapsules. Performance data cited in our marketing materials, including cooling measurements, QMAX ratings, and athletic performance benchmarks, are based on controlled laboratory testing conducted under specific conditions.

Individual results may vary depending on factors including, but not limited to, ambient temperature, humidity, physical activity level, individual physiology, and garment fit. Performance claims are not guarantees of specific results.

Freeze Tech products are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or health condition. If you have concerns about heat-related illness or medical conditions affected by temperature, please consult a qualified healthcare professional.

7. Intellectual Property

All content on the Site—including text, images, graphics, logos, product designs, videos, and the Freeze Tech name and mark—is the property of Liberta USA Inc. or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without our express written permission. Unauthorized use may violate copyright, trademark, and other laws.

8. User Conduct

By using the Site, you agree not to:

•       Use the Site for any unlawful purpose or in violation of these Terms

•       Attempt to gain unauthorized access to any portion of the Site or its related systems

•       Transmit any harmful, offensive, or disruptive content

•       Use automated tools to scrape, crawl, or otherwise collect data from the Site without our written consent

•       Impersonate any person or entity or misrepresent your affiliation with any person or entity

9. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FREEZE TECH MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIBERTA USA INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU PAID TO FREEZE TECH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Liberta USA Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

12. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy. Please review our Privacy Policy at www.freezetech.com/privacy.

13. Third-Party Links and Services

The Site may contain links to third-party websites or services. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing a formal legal claim, you agree to contact us at info@freezetech.com and attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

14.3 Dispute Resolution

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in Los Angeles, California. You waive your right to participate in any class action lawsuit or class-wide arbitration.

14.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the Effective Date at the top of this page. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site and supersede all prior agreements.
